These Terms of Service ("Terms") govern your access to and use of bidcopilot.com (the "Site") and the Bid Copilot software service (the "Service"), provided by Bid Copilot, Inc., a Delaware corporation ("Bid Copilot," "we," "us," or "our"). Please read these Terms carefully. By accessing or using the Site or Service, you agree to be bound by these Terms and our Privacy Policy.
Acceptance of Terms
By accessing or using the Site or Service, you confirm that you have read, understood, and agree to these Terms. If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, in which case "you" refers to that entity. If you do not agree to these Terms, you may not access or use the Service.
Eligibility
You must be at least 18 years old and have the legal capacity to enter into contracts in your jurisdiction to use the Service. By using the Service, you represent that you meet these requirements.
Accounts
To access certain features, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration.
- Maintain and promptly update your account information.
- Maintain the security and confidentiality of your password and credentials.
- Notify us immediately of any unauthorized access to or use of your account.
- Accept responsibility for all activity that occurs under your account, whether or not authorized by you.
We reserve the right to refuse, suspend, or terminate accounts at our discretion, including for violations of these Terms.
License and Acceptable Use
Subject to your continued compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your internal business purposes during your subscription term.
You agree NOT to, and not to permit any third party to:
- Use the Service for any unlawful, fraudulent, or unauthorized purpose.
- Copy, modify, distribute, sell, lease, sublicense, or create derivative works of any part of the Service.
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.
- Use any automated means (bots, scrapers, crawlers) to access or interact with the Service without our prior written permission.
- Interfere with or disrupt the operation, security, or integrity of the Service, networks, or infrastructure.
- Upload, transmit, or distribute viruses, malware, or any harmful or malicious code.
- Attempt to gain unauthorized access to any portion of the Service, other user accounts, or related systems.
- Use the Service to harass, abuse, defame, threaten, or harm another person.
- Misrepresent your identity, affiliation, or the origin of any content you submit.
- Violate any applicable law, regulation, or third-party right.
Subscriptions, Trials, and Payment
We may offer the Service on a subscription basis, including free trials and paid plans. If you subscribe to a paid plan, you agree to pay all applicable fees disclosed at the time of purchase. Unless otherwise stated, subscriptions automatically renew at the end of each billing period at the then-current rate. You may cancel your subscription at any time through your account settings or by contacting us; cancellation takes effect at the end of the current billing period.
Fees are non-refundable except as required by law or as expressly stated in writing by us. We may change our fees with reasonable advance notice. Your continued use of the Service following any fee change constitutes acceptance of the change. You are responsible for all applicable taxes (other than taxes on our net income).
User Content
"User Content" means all content you submit, upload, post, or otherwise transmit through the Service, including customer records, project information, proposals, change orders, attachments, comments, and feedback. You retain all ownership rights in your User Content.
By submitting User Content, you grant Bid Copilot a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, process, reproduce, display, transmit, and otherwise use your User Content solely as necessary to provide, secure, and improve the Service for you and to comply with legal obligations.
You represent and warrant that (a) you own or have all necessary rights, licenses, and consents to submit your User Content, (b) your User Content does not infringe or violate any third-party right, including intellectual property, privacy, or publicity rights, and (c) your User Content complies with these Terms and all applicable laws. You are solely responsible for your User Content.
Intellectual Property
The Site, the Service, and all related software, content, design, features, trademarks, logos, and intellectual property (excluding your User Content) are owned by Bid Copilot or its licensors and are protected by intellectual property and other laws. Except for the limited license granted in Section 4, no rights, title, or interest are transferred to you. All rights are reserved.
Feedback
If you submit suggestions, ideas, or feedback about the Service, you grant Bid Copilot a perpetual, irrevocable, worldwide, royalty-free, sublicensable, and transferable license to use, modify, and incorporate such feedback for any purpose without obligation to you.
Privacy
Our collection and use of personal information in connection with the Service is described in our Privacy Policy, which is incorporated into these Terms by reference.
Third-Party Services
The Service may include or integrate with third-party products, services, or content (such as e-signature, payment, calendar, or analytics providers). Your use of such third-party services is governed by their own terms and privacy policies. We are not responsible for, and do not endorse, any third-party services or content.
Termination
We may suspend, restrict, or terminate your access to the Service at any time, with or without notice, for any reason, including suspected violation of these Terms, non-payment, suspected fraud, or risk to the Service or its users. You may terminate your account at any time by canceling your subscription and discontinuing use.
Upon termination, your right to access and use the Service immediately ceases. We may retain or delete your User Content in accordance with our policies and applicable law. Sections of these Terms that by their nature should survive termination (including ownership, indemnification, disclaimers, limitations of liability, governing law, and miscellaneous provisions) will survive.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING (WITHOUT LIMITATION) WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR HARMFUL COMPONENTS.
WE DO NOT WARRANT THE ACCURACY, RELIABILITY, COMPLETENESS, OR USEFULNESS OF ANY CONTENT, INFORMATION, OR RESULTS OBTAINED FROM THE SERVICE. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL BID COPILOT OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING (WITHOUT LIMITATION) LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR USE, WHETHER ARISING IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO PORTIONS OF THE LIMITATIONS ABOVE MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
Indemnification
You agree to indemnify, defend, and hold harmless Bid Copilot and its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to (a) your use of the Service, (b) your User Content, (c) your violation of these Terms, or (d) your violation of any applicable law or third-party right.
Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction and venue of those courts. If you reside in a jurisdiction whose laws require otherwise, the applicable governing law and forum will be as required by such jurisdiction.
Changes to These Terms
We may update these Terms from time to time. The updated Terms will be posted on this page with a new "Last updated" date. For material changes, we may provide additional notice (such as by email or notice on the Site). Your continued use of the Service after the updated Terms take effect constitutes acceptance.
Miscellaneous
- Entire agreement — These Terms and the Privacy Policy constitute the entire agreement between you and Bid Copilot regarding the Service and supersede any prior agreements.
- Severability — If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force and effect.
- No waiver — Our failure to enforce any provision is not a waiver of that provision or our right to enforce it later.
- Assignment — You may not assign or transfer these Terms or your rights without our prior written consent. We may assign these Terms freely.
- Notices — We may provide notices through the Service, email, or by posting on the Site. You agree to receive electronic communications.
- Force majeure — Neither party will be liable for any failure or delay due to causes beyond its reasonable control.
